Terms of Service

These Terms of Service ("Terms") govern your use of the MemGhost platform at my.memghost.com (the "Service") operated by MemGhost ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

MemGhost is a personal knowledge management platform. You can capture items, organize them into hub pages, have AI-powered conversations in Spaces, and optionally self-host the software on your own infrastructure.

2. Accounts

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 13 years old to create an account.
  • One person or entity per account. Sharing account credentials is not permitted.

3. Your content

You own your content. Everything you capture, write, or create in MemGhost belongs to you. We do not claim any ownership or intellectual property rights over your content.

You grant us a limited license to store, process, and display your content solely to provide the Service to you. This includes running AI classification, materializing hub pages, and processing Space conversations. This license ends when you delete your content or your account.

You are responsible for the content you upload. Do not use the Service to store or distribute content that is illegal, infringing, or harmful.

4. AI features

AI features (classification, hub materialization, Spaces) use third-party AI providers to process your content. By using AI features, you consent to this processing as described in our Privacy Policy.

AI-generated content (hub page text, Space responses, classifications) is provided as-is. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content. You are responsible for reviewing and verifying AI outputs.

5. Plans and billing

Free tier

The free tier provides limited access to the Service at no cost. We may adjust free tier limits over time with reasonable notice. We will not delete your existing data if limits change — excess items are preserved but new captures may be paused until usage is within limits.

Paid plans

  • Paid plans are billed monthly or annually in advance.
  • You can upgrade, downgrade, or cancel at any time from your account settings.
  • Upgrades take effect immediately. Downgrades take effect at the end of the current billing period.
  • Refunds are provided on a case-by-case basis. Contact us if you believe a refund is warranted.

6. Self-hosting

MemGhost Docker images are provided for self-hosting. Self-hosted instances are not covered by these Terms except that you agree not to redistribute the software commercially until the open-source release (see our Open-Source Pledge).

We provide no warranty or support for self-hosted instances beyond the published documentation.

7. Acceptable use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service infrastructure
  • Use automated means to access the Service beyond the documented API
  • Resell or redistribute access to the Service without our written permission

We may suspend or terminate accounts that violate these terms. We will provide notice and an opportunity to export your data before termination, except in cases of severe abuse.

8. Data and privacy

Our handling of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key commitments:

  • We do not train AI models on your data
  • We do not sell your data
  • You can export all your data at any time
  • You can delete your account and data at any time

9. Availability and warranties

We strive to keep the Service available and reliable, but we provide it "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation.

We may perform maintenance that temporarily affects availability. We will provide advance notice for planned maintenance when possible.

10. Limitation of liability

To the maximum extent permitted by law, MemGhost shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Changes to these Terms

We may update these Terms from time to time. We will notify users of material changes via the app and update the "Last updated" date above. Continued use of the Service after changes constitutes acceptance. If you disagree with changes, you may cancel your account and export your data.

12. Governing law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the state in which MemGhost is incorporated.
